Terms and Conditions

Welcome to JV Copilot. These Terms and Conditions (“Terms”) govern your access to and use of the website, platform, software, products, tools, communications, integrations, and services available at https://jvcopilot.ai and any related services we provide (collectively, the “Service”). These Terms are between you and JV Copilot Inc., a Delaware corporation (“JV Copilot,” “Company,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, purchasing a subscription, purchasing lifetime access, participating in our affiliate program, using our messaging tools, or otherwise using JV Copilot, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

1. Business Use Only

JV Copilot is intended for businesses, entrepreneurs, agencies, affiliates, commercial users, event organizers, and other users acting for business or professional purposes. The Service is not intended for personal, household, or consumer use. By using the Service, you represent that you are using it for business or professional purposes.

2. Eligibility

To use the Service, you must be at least the age of majority in your state, province, country, or jurisdiction of residence and have authority to enter into these Terms on behalf of yourself or the business or organization you represent. If you use the Service on behalf of a company, organization, agency, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.

3. The Service

JV Copilot is an AI-powered platform designed to help businesses manage joint venture, affiliate, referral, launch, webinar, summit, event, and partner campaigns. The Service may include tools for campaign planning, partner onboarding, messaging, reminders, affiliate or partner follow-up, campaign analytics, email tracking, SMS reminders, templates, AI-generated suggestions, dashboards, integrations, reporting, leaderboard features, and related functionality. We may add, modify, suspend, limit, or remove features at any time, including during beta, early access, or product development.

4. Accounts

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete account information and to keep that information updated. You must notify us promptly if you suspect unauthorized access to your account. We are not responsible for losses arising from your failure to protect your account credentials.

5. Beta Access and Product Development

JV Copilot is currently in beta and may be incomplete, semi-functional, experimental, unstable, unavailable, or subject to change. You acknowledge and agree that:

• the Service may contain bugs, errors, interruptions, or incomplete features;
• certain features may not work as expected;
• integrations may fail, change, or become unavailable;
• AI outputs, analytics, tracking, reminders, and automation may be inaccurate or incomplete;
• we may modify, remove, replace, or discontinue beta features at any time;
• access to a beta feature does not guarantee that the feature will be included in the final or full product launch. You use beta features at your own risk.

6. Plans, Payments, and Billing

JV Copilot may offer monthly subscriptions, annual subscriptions, three-month subscriptions, lifetime memberships, founder offers, beta offers, promotional offers, and other paid plans. Payments are processed through Stripe or other third-party payment processors. By making a purchase, you authorize us and our payment processors to charge the applicable fees, taxes, and other amounts associated with your selected plan. Unless otherwise stated at checkout:

• subscription fees are billed in advance;
• monthly, annual, and three-month subscription fees are non-refundable;
• subscriptions may renew automatically until cancelled;
• cancelling a subscription stops future renewals but does not automatically entitle you to a refund for amounts already paid;
• prices, plans, and features may change in the future. You are responsible for maintaining accurate billing information. We may suspend or terminate access if payment fails or if fees remain unpaid.

7. Lifetime Memberships

JV Copilot may offer lifetime memberships from time to time. “Lifetime access” means access for the lifetime of the JV Copilot product as operated by JV Copilot Inc., not the lifetime of any individual user, founder, shareholder, employee, officer, feature, integration, or third-party service. Lifetime access does not guarantee:

• perpetual operation of JV Copilot;
• access to every current or future feature;
• access to every integration;
• access to paid add-ons, premium services, usage-based features, third-party fees, SMS fees, AI usage fees, or future products unless expressly included in the offer;
• that the Service will remain unchanged. For lifetime memberships purchased before June 8, 2026, refunds are available only for 30 days after the full product launch, not beta launch, unless otherwise required by law or expressly stated in writing. All other lifetime membership purchases are non-refundable unless otherwise stated at checkout, required by law, or expressly agreed in writing by JV Copilot Inc.

8. Taxes

Fees do not include taxes unless stated otherwise. You are responsible for any applicable taxes, duties, levies, or similar governmental assessments associated with your purchase or use of the Service.

9. Affiliate Program

JV Copilot operates an affiliate program. Affiliate commissions are paid in cash unless otherwise stated in the applicable affiliate terms. Participation in the affiliate program is governed by a separate Affiliate Agreement available at: https://jvcopilot.ai/affiliate-agreement By participating in the affiliate program, you agree to comply with the Affiliate Agreement, these Terms, applicable marketing laws, platform rules, disclosure requirements, anti-spam laws, and all instructions we provide. Affiliate referral attribution is tracked using cookies stored for 30 days from the date of the referral click. We may withhold, reduce, reverse, or refuse commissions for fraud, self-referrals, misleading promotions, spam, unlawful marketing, undisclosed affiliate promotions, chargebacks, refunds, duplicate referrals, policy violations, or other abuse.

10. User Content

“User Content” means any information, data, content, files, messages, contact lists, partner lists, phone numbers, email addresses, campaign materials, promotional assets, templates, notes, links, tracking data, or other materials you upload, submit, transmit, import, generate, or otherwise provide through the Service. You retain ownership of your User Content. You grant JV Copilot Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, analyze, modify, and use your User Content as necessary to provide, maintain, secure, improve, and support the Service. You represent and warrant that you have all rights, permissions, consents, and legal authority necessary to provide your User Content to us and to allow us to process it as described in these Terms and our Privacy Policy.

11. Responsibility for Contacts, Partner Data, and Consent

You are solely responsible for all contacts, phone numbers, email addresses, partner information, affiliate information, subscriber information, customer information, and other personal or business data that you upload, import, enter, connect, message, track, or process through the Service. You represent and warrant that:

• all contact data you provide was collected lawfully;
• you have all required permissions, consents, opt-ins, and legal rights to use the data with JV Copilot;
• you have the right to send or cause JV Copilot to send messages to those contacts;
• you will maintain records of consent where required;
• you will comply with all applicable privacy, marketing, advertising, electronic communications, SMS, email, and anti-spam laws. This includes, where applicable, CASL, CAN-SPAM, TCPA, CCPA/CPRA, state privacy laws, GDPR, UK GDPR, and other privacy, consumer protection, and electronic messaging laws.

12. Email Messaging Compliance

If you use JV Copilot to create, send, facilitate, track, or manage email communications, you are responsible for ensuring that all such emails comply with applicable laws and platform rules. You must not use the Service to send spam, deceptive messages, phishing messages, unlawful solicitations, or unauthorized commercial emails. For commercial email, you are responsible for ensuring, where required, that emails include accurate sender information, non-deceptive subject lines, required disclosures, a valid postal address, and a working unsubscribe or opt-out mechanism. You are also responsible for honoring opt-out and unsubscribe requests. JV Copilot may suspend or restrict email-related features if we believe your use may violate law, platform rules, third-party provider requirements, these Terms, or our acceptable use requirements.

13. SMS and Mobile Messaging Compliance

JV Copilot may allow users to send or facilitate SMS reminders and campaign-related text messages to affiliates, partners, and other campaign participants who have opted in to receive such messages. SMS messages may include launch reminders, campaign reminders, promotion reminders, onboarding reminders, partner follow-up reminders, event reminders, schedule reminders, or similar campaign-related updates. For compliance purposes, you agree that such messages may be treated as marketing or promotional messages. Message frequency varies and depends on campaign activity. Message and data rates may apply. Recipients may reply STOP to unsubscribe or HELP for help where supported. SMS support is available at privacy@jvcopilot.ai. Consent to receive SMS messages is not required as a condition of purchasing goods or services from JV Copilot. You are solely responsible for obtaining all legally required consent before causing JV Copilot to send or facilitate SMS messages. You must not upload, import, or provide a phone number unless the person associated with that phone number has given valid consent to receive the specific type of messages being sent. Where required, consent must be clear, voluntary, specific, and documented. Consent must not be obtained through deception, bundled consent, hidden terms, pre-checked boxes, or misleading language. If consent is collected through a web form, checkbox, registration page, campaign opt-in form, or similar method, you are responsible for ensuring that the form includes:

• a phone number input field;
• an unchecked checkbox or other affirmative consent mechanism;
• a clear description of the types of SMS messages the recipient will receive;
• a statement that message frequency varies or depends on campaign activity;
• a statement that message and data rates may apply;
• HELP and STOP instructions;
• links to applicable Terms and Privacy Policy pages;
• language stating that consent is not required as a condition of purchase. If you collect verbal, offline, written, manual, or other non-web-form consent, you must keep written records of that consent, including:
• the recipient’s name;
• phone number;
• date and time of consent;
• method of consent;
• campaign or message category consented to;
• consent language used;
• person or organization that collected consent;
• any available evidence supporting the consent. JV Copilot may request proof of SMS consent before sending messages, after a complaint, during compliance review, in response to carrier or Twilio review, or at any other time. If you cannot provide satisfactory proof of consent, we may suspend or terminate SMS functionality, refuse to send messages, remove phone numbers, cancel campaigns, or terminate your account.

14. SMS Opt-Outs

You must honor all SMS opt-out requests. If a recipient replies STOP, unsubscribes, withdraws consent, complains, or otherwise indicates they no longer wish to receive messages, you must not send or cause JV Copilot to send further SMS messages to that recipient unless the recipient lawfully re-subscribes. JV Copilot may maintain suppression lists, opt-out records, and consent records as necessary to honor opt-outs, prevent unlawful messages, comply with carrier and provider requirements, and protect the Service. You must not attempt to evade opt-outs, resubscribe users without valid consent, rotate phone numbers to avoid filtering, or otherwise bypass carrier, Twilio, legal, or platform requirements.

15. Messaging Suspension Rights

We may suspend, limit, review, delay, block, or terminate messaging features, campaigns, numbers, accounts, or integrations if we believe, in our sole discretion, that:

• messages may violate law;
• consent records are missing, incomplete, or unreliable;
• there are spam complaints, abuse complaints, opt-out issues, carrier filtering issues, or suspicious activity;
• messages may violate Twilio, carrier, email provider, platform, or third-party requirements;
• your use creates legal, reputational, technical, security, deliverability, or compliance risk;
• you violate these Terms or our Privacy Policy. We are not liable for blocked, delayed, filtered, undelivered, suspended, or rejected messages. Carriers, Twilio, email providers, messaging platforms, and other third parties are not liable for delayed or undelivered messages.

16. Prohibited Uses

You must not use the Service to:

• violate any law, regulation, court order, platform rule, third-party agreement, or rights of others;
• send spam, unsolicited bulk messages, phishing messages, fraudulent messages, deceptive promotions, or unlawful commercial messages;
• upload, buy, rent, scrape, harvest, or use contact lists without proper consent;
• send messages to recipients who have opted out, unsubscribed, or withdrawn consent;
• misrepresent your identity, affiliation, offer, sender information, or campaign purpose;
• promote illegal products, illegal services, scams, fraud, or deceptive claims;
• promote hate, harassment, abuse, threats, violence, exploitation, or discriminatory content;
• promote malware, spyware, credential theft, phishing, hacking, or unauthorized access;
• promote high-risk financial products, debt relief, payday loans, credit repair, get-rich-quick schemes, misleading income claims, or deceptive investment opportunities;
• promote unlawful gambling, regulated gambling without required authorization, or lottery schemes;
• promote controlled substances, illegal drugs, cannabis products where prohibited, or unlawful drug-related products;
• promote adult sexual content, explicit sexual services, or unlawful adult services;
• promote weapons, illegal firearms, or unlawful regulated goods;
• promote misleading health, medical, legal, tax, financial, or professional claims;
• interfere with the security, integrity, availability, or performance of the Service;
• reverse engineer, scrape, copy, resell, sublicense, or exploit the Service except as expressly permitted;
• bypass usage limits, access controls, billing systems, security systems, provider restrictions, or compliance controls;
• use the Service to build a competing product or service;
• upload malicious code, viruses, bots, worms, or harmful content;
• use the Service in a way that creates legal, reputational, technical, security, or compliance risk for JV Copilot.

17. AI and Automation

The Service may use artificial intelligence, automation, machine learning, or third-party AI providers to generate, assist with, or process messages, templates, reminders, summaries, recommendations, campaign suggestions, partner follow-up suggestions, analytics, and related outputs. AI-generated or AI-assisted content may be sent automatically where you configure, enable, approve, authorize, or use features that support automated sending. You are responsible for reviewing your settings, campaign content, automation rules, recipients, consent records, and message outputs before enabling or using automation. You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, misleading, outdated, or unsuitable;
• AI outputs are not legal, financial, tax, medical, compliance, or professional advice;
• AI outputs are not a substitute for human review or professional advice;
• you are responsible for all decisions, messages, campaigns, and actions taken based on AI outputs;
• you are responsible for ensuring that AI-generated or automated messages comply with law, these Terms, platform rules, and recipient consent. We may use third-party AI providers, including OpenAI, Anthropic, Google Gemini, or similar providers. Those providers may process data according to their own terms, policies, and technical practices.

18. Third-Party Services and Integrations

The Service may integrate with or rely on third-party services, including Stripe, Twilio, Gmail, Outlook, Facebook Messenger, WhatsApp, OpenAI, Anthropic, Google Gemini, Google Analytics, PostHog, Google Calendar, GoHighLevel, hosting providers, analytics providers, payment processors, email providers, SMS providers, CRM systems, affiliate platforms, and other services. Third-party services are not controlled by JV Copilot. We are not responsible for third-party services, including their availability, security, performance, actions, omissions, policies, terms, data practices, pricing, outages, errors, or changes. Your use of third-party services may be governed by separate terms and privacy policies. We may suspend or remove integrations at any time.

19. Analytics, Tracking, and Campaign Data

JV Copilot may provide analytics, tracking, reporting, attribution, leaderboard, and performance tools, including email open tracking, click tracking, SMS delivery data, campaign performance data, partner activity data, conversion data, and related reporting. Analytics and tracking data may be incomplete, delayed, inaccurate, affected by bots or proxy services, blocked by privacy tools, limited by third-party platforms, or otherwise unreliable. We do not guarantee the accuracy, completeness, deliverability, attribution, revenue tracking, conversion tracking, leaderboard results, or campaign analytics generated through the Service. You are responsible for disclosing your use of tracking technologies where required by law and for obtaining any required consent.

20. Intellectual Property

The Service, including our software, technology, designs, trademarks, logos, branding, workflows, templates, text, graphics, interfaces, features, databases, documentation, and related materials, is owned by JV Copilot Inc. or its licensors and is protected by intellectual property and other laws. Except as expressly allowed by these Terms, you may not copy, modify, reproduce, distribute, sell, license, reverse engineer, create derivative works from, or exploit any part of the Service. No rights are granted except as expressly stated in these Terms.

21. Feedback

If you provide ideas, suggestions, feedback, feature requests, or recommendations, you grant JV Copilot Inc. a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation to you.

22. Confidentiality

You may receive access to non-public information about JV Copilot, including beta features, product plans, pricing, strategy, technical information, business information, and other confidential materials. You agree not to disclose or misuse JV Copilot’s confidential information except as necessary to use the Service as permitted by these Terms.

23. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you agree that we may collect, use, disclose, process, and store information as described in our Privacy Policy.

24. Service Availability

We do not guarantee that the Service will be uninterrupted, secure, accurate, complete, error-free, or available at any particular time. We may perform maintenance, experience outages, suspend features, change infrastructure, or modify the Service without notice. We are not liable for downtime, data loss, delayed messages, undelivered messages, third-party outages, integration failures, analytics errors, or lost business opportunities.

25. Termination and Suspension

We may suspend, restrict, or terminate your account or access to the Service at any time if we believe that:

• you violated these Terms;
• you violated our Privacy Policy;
• you failed to pay required fees;
• your use creates legal, compliance, security, reputational, deliverability, or technical risk;
• your messaging activity triggers complaints, carrier filtering, provider warnings, or compliance concerns;
• you misuse the Service;
• continued access may harm JV Copilot, users, recipients, partners, service providers, or third parties. You may stop using the Service at any time. Cancellation or termination does not entitle you to a refund except as expressly stated in these Terms or required by law. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and compliance obligations.

26. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, JV Copilot Inc. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation. We do not warrant that:

• the Service will meet your requirements;
• the Service will be uninterrupted, secure, or error-free;
• messages will be delivered;
• integrations will remain available;
• analytics will be accurate;
• AI outputs will be correct;
• campaigns will succeed;
• partners will promote;
• revenue, conversions, leads, clicks, opens, or sales will occur;
• any specific business outcome will be achieved.

27. No Professional Advice

JV Copilot may provide AI-generated suggestions, templates, reminders, workflows, summaries, analytics, or other outputs. The Service does not provide legal, financial, tax, accounting, medical, compliance, marketing, or professional advice. You are responsible for obtaining professional advice where appropriate.

28. Limitation of Liability

To the maximum extent permitted by law, JV Copilot Inc. and its officers, directors, shareholders, employees, contractors, affiliates, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, lost goodwill, lost business opportunities, failed campaigns, partner non-performance, undelivered messages, inaccurate analytics, third-party outages, AI-generated errors, or business interruption. To the maximum extent permitted by law, JV Copilot Inc.’s total liability for all claims arising out of or relating to the Service or these Terms will not exceed the amount you paid to JV Copilot for the Service giving rise to the claim during the twelve months before the event giving rise to liability. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

29. Indemnification

You agree to defend, indemnify, and hold harmless JV Copilot Inc. and its officers, directors, shareholders, employees, contractors, affiliates, service providers, and agents from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the Service;
• your User Content;
• your campaigns, messages, offers, promotions, or communications;
• your contact lists, partner lists, phone numbers, email addresses, or recipient data;
• your failure to obtain required consent;
• your violation of privacy, SMS, email, anti-spam, marketing, advertising, consumer protection, or electronic communications laws;
• your violation of these Terms or our Privacy Policy;
• your violation of third-party rights;
• your misuse of AI outputs or automation;
• your fraud, negligence, willful misconduct, or unlawful conduct.

30. Remedies for Misuse

You acknowledge that misuse of the Service may cause significant harm to JV Copilot, users, recipients, service providers, partners, carriers, and third parties. If you violate these Terms, we may pursue available remedies, including:

• suspension or termination of your account;
• suspension or termination of messaging features;
• removal of campaigns, contacts, or content;
• withholding, reversal, or forfeiture of affiliate commissions where permitted;
• recovery of actual damages;
• recovery of costs, expenses, and reasonable legal fees where permitted by law;
• injunctive or equitable relief;
• reporting to service providers, carriers, platforms, regulators, or law enforcement where appropriate. We reserve all rights and remedies available under law and equity.

31. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes, we may notify you by email, through the Service, by posting a notice, or by updating the “Last Updated” date. Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Service.

32. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict-of-law rules. You and JV Copilot Inc. agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service. You waive any objection to jurisdiction or venue in those courts.

33. No Class Actions

To the maximum extent permitted by law, you and JV Copilot Inc. agree that any dispute, claim, or proceeding will be brought only on an individual basis and not as a class, consolidated, collective, representative, or private attorney general action. This section does not require arbitration. It applies to disputes brought in court unless prohibited by applicable law.

34. Notices

We may provide notices by email, through the Service, by posting on our website, or by other reasonable means. You are responsible for keeping your account email address current.

35. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

36. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

37. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms that apply to specific features, plans, promotions, or programs, make up the entire agreement between you and JV Copilot Inc. regarding the Service.
