Terms of Use

1. Use of the Service

JV Copilot is an AI-powered platform designed to help businesses manage their Joint Venture (JV) partnerships. The platform facilitates messaging and interactions between our clients and their JV partners through integrations with third-party communication tools (including but not limited to email, SMS, and Facebook Messenger).

Eligibility

To use the Service, you must be at least the age of majority in your province, state, or jurisdiction of residence. By using the platform, you represent and warrant that you meet this requirement.

Account Creation

To access the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Beta Access & Presale Membership

The platform is currently in development and not functional. Users purchasing lifetime memberships for $970 USD agree that:

• The product is still under development.
• Refunds are only available for 30 days after the full product launch (not beta).
• All presale purchases are final unless otherwise stated in writing.

3. Affiliate Commissions

JV Copilot offers an affiliate program. Details regarding commissions and eligibility will be published separately. Misuse or fraudulent referrals will result in forfeiture of commissions and account termination.

4. Messaging & Compliance

Communications may be facilitated via email, SMS, Facebook Messenger, and other tools. You are solely responsible for:

• Obtaining recipient consent
• Compliance with applicable laws (CASL, CAN-SPAM, TCPA, GDPR)

JV Copilot assumes no responsibility for content, delivery, or compliance of communications initiated by users.

5. Use of AI

Our AI tools provide productivity support only. They are not a substitute for legal, business, or professional advice. We disclaim liability for any reliance on AI-generated suggestions.

6. User Content and Licensing

You grant JV Copilot a non-exclusive, worldwide license to use, display, and transmit your submitted content for platform operation.

7. Restrictions

Users may not:

• Send spam or unsolicited bulk messages
• Reverse engineer or duplicate the system
• Disrupt performance or security

8. Modifications

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

9. Termination

We may suspend or terminate access at any time. Refunds are not issued except as specifically described under Presale Membership.

10. Intellectual Property

All content, branding, and software is the property of JV Copilot and may not be copied or reused without permission.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee reliability or performance of integrations or suggestions.

12. Limitation of Liability

We are not liable for any indirect or consequential damages. Total liability will not exceed the amount paid for the Service.

13. Indemnity

You agree to indemnify JV Copilot against claims arising from your use, content, messaging, or any breach of these Terms.

14. Liquidated Damages

You agree to the following as reasonable estimates of damages for breaches:

• $1,000 for impersonation, misrepresentation, or unauthorized disclosure
• $100 for unauthorized access or usage beyond limits
• $25 for each unsolicited message sent
• $100 for misleading or prohibited content
• $3,000 per day for scraping, copying, or unlicensed reuse of our tools/content

We reserve the right to pursue additional remedies as allowed by law.

15. Governing Law

These Terms are governed by the laws of Manitoba and Canada. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia.
