JV Copilot Affiliate Agreement

This Affiliate Agreement ("Agreement") governs participation in the JV Copilot affiliate program ("Program"). This Agreement is between you ("Affiliate," "you," or "your") and JV Copilot Inc., a Delaware corporation ("JV Copilot," "Company," "we," "us," or "our").

By applying to, joining, accessing, promoting, or participating in the Program, you agree to be bound by this Agreement, our Terms and Conditions, our Privacy Policy, and any additional program rules, commission terms, payout instructions, or written guidance we provide.

If you do not agree, you may not participate in the Program.

1. Program Overview

The Program allows approved or participating affiliates to promote JV Copilot and earn commissions on eligible referred customers, subject to this Agreement.

JV Copilot is an AI-powered platform for businesses, entrepreneurs, agencies, affiliates, event organizers, and commercial users to manage joint venture, affiliate, referral, launch, webinar, summit, event, and partner campaigns.

The Program is intended for business and commercial promotion only.

2. Eligibility and Participation

The Program is generally open to anyone. However, JV Copilot reserves the right to approve, reject, suspend, limit, or terminate any affiliate account or participation in the Program at any time, with or without cause.

You must be at least the age of majority in your jurisdiction and have legal authority to enter into this Agreement.

If you participate on behalf of a company, agency, organization, or other entity, you represent and warrant that you have authority to bind that entity to this Agreement.

You are responsible for keeping your affiliate account, contact information, tax information, and payout details accurate and current.

3. Independent Contractor Relationship

You are an independent contractor. Nothing in this Agreement creates an employment, agency, franchise, partnership, joint venture, representative, fiduciary, or similar relationship between you and JV Copilot.

You do not have authority to bind JV Copilot, make commitments on our behalf, modify our offers, issue refunds, make guarantees, or represent that you are an employee, officer, owner, agent, or official representative of JV Copilot.

You are solely responsible for your own business expenses, taxes, filings, insurance, equipment, promotion costs, and legal compliance.

4. Affiliate Links, Tracking, and Attribution

Referrals are tracked using affiliate links, cookies, coupon codes where applicable, and other tracking methods we may provide.

Unless otherwise stated in writing:

• Cookie duration is 30 days
• Attribution is based on last-click attribution
• If a customer clears cookies, blocks cookies, uses a different device, signs up without an affiliate link, or otherwise is not tracked, the referral may not be credited automatically
• Manual credit may be given at JV Copilot's sole discretion
• Coupon codes may be provided to certain affiliates at our discretion
• JV Copilot may modify, replace, disable, or remove affiliate links, codes, tracking methods, and attribution rules at any time

JV Copilot's tracking records and internal systems will be the primary basis for determining whether a commission is owed.

5. Commission Structure

Unless otherwise stated in writing by JV Copilot, standard affiliate commissions are:

• 40% first-tier lifetime recurring commission on eligible subscription revenue from customers directly referred by you; and
• 10% second-tier lifetime recurring commission on eligible subscription revenue generated by affiliates directly referred by you.

Certain founding members, initial lifetime members, VIP clients, promotional partners, or other selected affiliates may receive enhanced commission terms.

Initial lifetime members and certain VIP clients may receive:

• 40% first-tier lifetime recurring commission; and
• 20% second-tier lifetime recurring commission.

Enhanced commissions are available only if expressly granted by JV Copilot in writing or shown inside the affiliate platform.

"Lifetime recurring commission" means commission on eligible recurring subscription revenue actually received by JV Copilot from a referred customer for as long as the referred customer remains active, paying, validly attributed, and eligible under this Agreement and the applicable commission rules. It does not mean commission for the lifetime of the affiliate, the customer, any founder, or any specific product feature.

6. Eligible Revenue

Commissions apply to eligible revenue from monthly subscriptions, annual subscriptions, three-month subscriptions, and other subscription plans that JV Copilot designates as commissionable.

Unless otherwise stated in writing, lifetime memberships do not currently earn affiliate commissions. JV Copilot may choose to make lifetime memberships commissionable in the future, but any such change will apply only as stated by JV Copilot.

Commissions are calculated on revenue actually received by JV Copilot, excluding:

• Payment processor fees, including Stripe fees
• Chargeback fees
• Bank fees
• Wise fees
• Wire fees
• Currency conversion costs
• Taxes
• Refunds
• Chargebacks
• Disputed payments
• Failed payments
• Credits
• Coupons
• Discounts
• Rebates
• Free trials
• Complimentary accounts
• Internal accounts
• Test transactions
• Manually excluded transactions
• Non-commissionable products, services, add-ons, usage charges, or fees

JV Copilot reserves the right, in its sole discretion, to pay additional amounts, gross up commissions, or include payment processing fees in a payout, but is not required to do so.

7. Second-Tier Commissions

The Program may include a two-tier commission structure.

A "second-tier commission" may be earned when you directly refer another affiliate to the Program and that referred affiliate generates eligible subscription revenue from their own referred customers.

Unless otherwise stated in writing:

• Second-tier commissions apply only to affiliates directly referred by you
• There are no third-tier or deeper-tier commissions
• Second-tier commissions apply only to eligible subscription revenue actually received by JV Copilot
• Second-tier commissions are subject to the same exclusions, reversals, payout rules, and compliance requirements as first-tier commissions
• JV Copilot may modify, pause, or discontinue second-tier commissions at any time, subject to any written commitments made to specific affiliates

8. Payouts

Eligible commissions will be paid within 90 days after JV Copilot receives the associated customer payment, subject to review, verification, fraud checks, refund windows, chargebacks, disputes, cancellations, compliance review, and any required payout or tax documentation.

JV Copilot may pay commissions earlier at its discretion.

Payouts may be made through Wise, bank transfer, or another payment method chosen or approved by JV Copilot. We will try to work reasonably with affiliates to find a practical payout method, but payout method availability may depend on location, banking access, platform rules, compliance requirements, fees, and other factors.

You are responsible for any transaction fees, bank fees, Wise fees, wire fees, currency conversion fees, intermediary bank fees, and similar costs associated with receiving commission payments, unless JV Copilot chooses otherwise in writing.

JV Copilot may withhold payment until you provide accurate payout details, tax forms, identity information, compliance information, or any other information reasonably required to process payment.

9. Refunds, Chargebacks, Cancellations, and Reversals

Commissions are not earned, or may be reversed, withheld, offset, or deducted from future payouts, for:

• Refunds
• Chargebacks
• Disputed payments
• Failed payments
• Cancelled payments
• Fraudulent payments
• Duplicate transactions
• Self-referrals
• Test purchases
• Internal purchases
• Unauthorized purchases
• Purchases made in violation of this Agreement
• Purchases associated with misleading, unlawful, or non-compliant promotions
• Customer cancellations where the applicable payment is not retained by JV Copilot
• Any transaction JV Copilot reasonably determines is invalid, abusive, fraudulent, or non-commissionable

If a commission has already been paid on a transaction that is later refunded, charged back, disputed, reversed, cancelled, or found to be invalid, JV Copilot may deduct the amount from future commissions or require repayment.

10. No Self-Referrals

You may not use your own affiliate link, coupon code, account, identity, business, household, related party, or controlled entity to purchase JV Copilot for the purpose of earning a commission.

Self-referrals are prohibited and may result in commission forfeiture, account termination, and removal from the Program.

11. Affiliate Disclosures

You must clearly and conspicuously disclose your affiliate relationship with JV Copilot whenever you promote JV Copilot or use an affiliate link, coupon code, referral link, sponsored recommendation, bonus offer, review, testimonial, social post, email, video, webinar, live stream, podcast, direct message, or other promotional communication.

Your disclosure must be easy to notice, easy to understand, and placed close to the relevant claim, recommendation, or affiliate link.

Examples of acceptable disclosure language include:

• "I may earn a commission if you buy through my link."
• "This is an affiliate link, and I may receive a commission."
• "I'm a JV Copilot affiliate and may earn a commission if you sign up."

Disclosures must not be hidden in footers, terms pages, profile bios only, or places where an ordinary viewer is unlikely to see them before acting on your recommendation.

You are responsible for complying with all applicable endorsement, advertising, influencer, affiliate, and disclosure laws and platform rules.

12. Marketing Compliance

You are solely responsible for your promotional activities and for ensuring that all advertising, marketing, emails, SMS messages, direct messages, social posts, videos, webinars, landing pages, bonuses, reviews, claims, and other promotions comply with applicable laws, platform rules, and this Agreement.

This includes, where applicable, laws and rules relating to:

• Affiliate disclosures
• Endorsements and testimonials
• Advertising and consumer protection
• Email marketing
• SMS and text messaging
• Telemarketing
• Privacy
• Anti-spam
• Influencer marketing
• Unfair or deceptive acts or practices
• Income claims and earnings claims
• Platform-specific advertising policies

JV Copilot does not endorse, approve, guarantee, or assume responsibility for your promotional content unless we expressly approve specific content in writing.

13. Email Promotion Rules

You may promote JV Copilot by email only if you comply with all applicable email marketing laws, including CAN-SPAM, CASL, GDPR, UK GDPR, and any other laws that apply to your recipients.

You must:

• Have the legal right and required consent to email each recipient
• Use accurate sender information
• Use non-deceptive subject lines
• Identify promotional messages where required
• Include required disclosures
• Include a valid physical mailing address where required
• Provide a working unsubscribe or opt-out mechanism where required
• Honor unsubscribe and opt-out requests promptly
• Avoid sending spam or unsolicited bulk email
• Avoid using purchased, scraped, harvested, rented, or unlawfully obtained email lists

You are responsible for all email lists, email content, sending practices, sender reputation, deliverability, complaints, unsubscribe handling, and compliance obligations related to your email promotions.

14. SMS and Text Message Promotion Rules

You may promote JV Copilot by SMS or text message only if you comply with all applicable laws, carrier rules, messaging provider rules, and consent requirements, including TCPA, CASL, Twilio requirements, carrier requirements, and any other laws or rules that apply to your recipients.

You must not send or cause to be sent any SMS or text message promoting JV Copilot unless the recipient has provided valid consent to receive that specific type of message from you.

For marketing or promotional SMS messages, you are responsible for obtaining all required prior express written consent where required.

You must:

• Obtain clear, voluntary, specific, and documented consent before sending promotional SMS messages
• Maintain written proof of consent
• Identify the sender where required
• Include required disclosures
• Include or support STOP and HELP instructions where required
• Honor opt-out requests immediately or as required by law
• Avoid sending messages to recipients who have opted out, unsubscribed, complained, or withdrawn consent
• Avoid using purchased, scraped, harvested, rented, or unlawfully obtained phone lists
• Comply with carrier, Twilio, platform, and messaging provider requirements

If you collect verbal, offline, written, manual, or non-web-form SMS consent, you must keep written records of that consent, including the recipient's name, phone number, date and time of consent, method of consent, consent language used, campaign or message category, and the person or organization that collected consent.

JV Copilot may request proof of SMS consent at any time. If you cannot provide satisfactory proof, we may withhold commissions, suspend your affiliate account, terminate your participation, or take other action.

15. Prohibited Promotional Practices

You must not:

• Make false, misleading, deceptive, exaggerated, or unsubstantiated claims about JV Copilot
• Claim or imply that JV Copilot guarantees revenue, profits, partner promotions, conversions, sales, launches, business growth, or any specific outcome
• Make income, earnings, performance, or ROI claims unless they are truthful, substantiated, not misleading, and approved by JV Copilot in writing
• Represent that JV Copilot provides legal, financial, tax, medical, compliance, or professional advice
• Impersonate JV Copilot, its founders, employees, customers, partners, or affiliates
• Claim to be an employee, owner, officer, agent, or official representative of JV Copilot
• Use deceptive countdown timers, fake scarcity, fake testimonials, fake reviews, fake endorsements, or misleading screenshots
• Misrepresent pricing, refund policies, product status, beta status, features, integrations, commissions, or availability
• Send spam, unsolicited bulk messages, phishing messages, deceptive messages, or unlawful commercial messages
• Promote JV Copilot through hate, harassment, threats, abuse, illegal content, adult sexual content, unlawful gambling, unlawful drugs, scams, malware, deceptive financial claims, or other harmful or brand-damaging content
• Use JV Copilot's name, trademarks, logos, assets, screenshots, founder images, or materials in a way that harms, disparages, confuses, dilutes, or misrepresents the JV Copilot brand
• Bid on, purchase, or use paid advertising in a way that impersonates JV Copilot or confuses users about who is operating the ad or landing page
• Use domain names, social handles, profiles, or pages that imply ownership of JV Copilot or create confusion with official JV Copilot properties
• Use malware, cookie stuffing, forced clicks, hidden iframes, auto-redirects, link cloaking designed to deceive, or other fraudulent tracking methods
• Interfere with JV Copilot's tracking, platform, brand, accounts, campaigns, or customer relationships

16. Paid Advertising

You may use paid advertising to promote JV Copilot, provided that you comply with this Agreement, applicable laws, advertising platform rules, and all disclosure requirements.

You are solely responsible for your ads, ad accounts, targeting, claims, landing pages, budgets, bidding, compliance, and results.

JV Copilot does not endorse or assume responsibility for your paid advertisements.

JV Copilot may require you to modify, pause, remove, or stop running any advertisement, keyword, landing page, campaign, creative, or promotional claim that we believe may violate this Agreement, harm the brand, create legal risk, or mislead users.

JV Copilot may prohibit or restrict use of branded keywords, trademark bidding, founder names, misspellings, domain names, or other paid search practices at any time.

17. Brand Assets and Promotional Materials

JV Copilot may provide logos, screenshots, demo videos, landing page copy, swipe files, founder headshots, product screenshots, and other promotional materials.

You may use JV Copilot brand assets and approved promotional materials to promote JV Copilot, provided that your use:

• Is truthful and not misleading
• Does not harm, disparage, or dilute the JV Copilot brand
• Does not imply employment, ownership, partnership, endorsement, or official representation beyond your affiliate relationship
• Does not modify materials in a way that changes their meaning or creates misleading claims
• Complies with this Agreement and applicable law

JV Copilot may revoke permission to use any brand asset, founder image, screenshot, copy, swipe file, video, or promotional material at any time.

Upon request, you must promptly remove or stop using any JV Copilot asset or promotional material.

18. Bonuses, Coupon Codes, and Special Offers

JV Copilot may provide unique affiliate links, tracking links, coupon codes, discount codes, custom offers, or promotional campaigns at its discretion.

You may not create, advertise, or imply unauthorized discounts, coupons, bonuses, guarantees, refunds, or special offers on behalf of JV Copilot.

If you offer your own bonuses, you are solely responsible for delivering them, describing them accurately, supporting them, and complying with all applicable laws. Your bonuses must not mislead customers, harm the JV Copilot brand, or imply that JV Copilot is responsible for providing them unless JV Copilot expressly agrees in writing.

JV Copilot reserves the right to give, modify, remove, or revoke a coupon code, discount, special offer, or promotional arrangement for any person or affiliate at any time.

19. Customer Ownership and Customer Data

All customers referred through the Program are customers of JV Copilot.

You do not acquire any ownership right, account right, support right, platform right, data right, or customer relationship right in referred customers.

JV Copilot is not required to provide you with customer personal information, billing information, contact details, account details, usage data, or private customer communications.

You may receive limited commission, attribution, or payout information through the affiliate platform or reports we choose to provide.

You must not attempt to access, scrape, export, or misuse JV Copilot customer data.

20. Taxes and Payout Documentation

You are responsible for all taxes, duties, fees, reporting obligations, and government filings related to commissions you receive.

JV Copilot may require you to provide tax forms, identity information, banking information, compliance information, or other payout documentation before issuing payment.

We may withhold payments where required by law or where necessary to comply with tax, sanctions, anti-money laundering, payment processor, banking, or compliance requirements.

21. Compliance Reviews

JV Copilot may review your promotional content, affiliate account, traffic sources, referrals, commissions, consent records, email practices, SMS practices, paid ads, landing pages, or other activity at any time.

You agree to cooperate with compliance reviews and provide information reasonably requested by JV Copilot.

Failure to cooperate may result in commission withholding, suspension, termination, or forfeiture.

22. Suspension, Termination, and Commission Forfeiture

JV Copilot may suspend, restrict, or terminate your participation in the Program at any time, with or without cause, and with or without prior notice.

If your participation is terminated without cause, eligible unpaid commissions that were validly earned before termination may be paid according to the normal payout schedule, subject to reversals, offsets, compliance review, and payout requirements.

If you violate this Agreement, our Terms and Conditions, our Privacy Policy, applicable law, platform rules, or any written instructions from JV Copilot, then JV Copilot may, in addition to other remedies:

• Terminate your participation
• Disable your links or codes
• Remove your access to affiliate tools
• Withhold unpaid commissions
• Reverse commissions
• Require repayment of commissions already paid
• Disqualify referrals
• Cancel special commission terms
• Prohibit future participation
• Pursue legal or equitable remedies

Unpaid commissions may be forfeited if you violate this Agreement.

23. Program Changes

JV Copilot may modify, pause, suspend, or discontinue the Program, commission rates, payout rules, second-tier commissions, tracking methods, eligible products, cookie duration, affiliate tools, promotional rules, and this Agreement at any time.

Changes may apply prospectively unless we state otherwise or unless required by law.

Your continued participation in the Program after changes become effective means you accept the updated terms.

If you do not agree to changes, you must stop participating in the Program.

24. Confidentiality

You may receive non-public information about JV Copilot, including product plans, beta features, pricing, strategy, performance, commissions, promotional plans, customer information, technical information, and business information.

You agree not to disclose, misuse, or exploit JV Copilot confidential information except as necessary to participate in the Program as permitted by this Agreement.

25. Intellectual Property

JV Copilot Inc. owns all rights, title, and interest in the JV Copilot name, trademarks, logos, platform, software, website, designs, copy, workflows, templates, product materials, and other intellectual property.

Except for the limited permission to promote JV Copilot under this Agreement, no rights are granted to you.

You must not register, purchase, or use domain names, trademarks, business names, social media handles, ad accounts, app names, or other identifiers that include or are confusingly similar to JV Copilot, jvcopilot, or any JV Copilot brand or founder name without written permission.

26. No Warranty

The Program and Service are provided "as is" and "as available."

JV Copilot does not guarantee that:

• The Program will remain available
• Tracking will be error-free
• Affiliate links will always work
• Cookies will always be stored
• Commissions will always be tracked
• Customers will purchase
• Subscriptions will remain active
• Referred customers will pay
• Integrations or payment systems will remain available
• Any specific earnings or results will occur

27. Limitation of Liability

To the maximum extent permitted by law, JV Copilot Inc. and its officers, directors, shareholders, employees, contractors, affiliates, service providers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost commissions, lost revenue, lost data, lost goodwill, lost business opportunities, tracking errors, failed referrals, inaccurate reporting, third-party outages, or payment delays.

To the maximum extent permitted by law, JV Copilot Inc.'s total liability arising out of or relating to this Agreement or the Program will not exceed the unpaid eligible commissions owed to you for valid referrals during the three months before the event giving rise to the claim.

28. Indemnification

You agree to defend, indemnify, and hold harmless JV Copilot Inc. and its officers, directors, shareholders, employees, contractors, affiliates, service providers, and agents from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

• Your participation in the Program
• Your promotional activities
• Your website, emails, SMS messages, ads, social posts, videos, webinars, landing pages, bonuses, claims, or communications
• Your failure to disclose your affiliate relationship
• Your violation of advertising, endorsement, email, SMS, telemarketing, privacy, anti-spam, consumer protection, or other laws
• Your failure to obtain required consent
• Your violation of this Agreement, our Terms and Conditions, or our Privacy Policy
• Your misuse of JV Copilot brand assets
• Your fraud, negligence, willful misconduct, or unlawful conduct

29. Remedies

You acknowledge that violations of this Agreement may cause harm to JV Copilot, customers, users, service providers, carriers, and third parties.

JV Copilot may pursue all available remedies, including suspension, termination, commission withholding, commission reversal, repayment, injunctive relief, recovery of actual damages, recovery of costs and legal fees where permitted by law, and reporting to platforms, providers, regulators, or law enforcement where appropriate.

30. Governing Law and Venue

This Agreement and any dispute, claim, or controversy arising out of or relating to this Agreement or the Program are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict-of-law rules.

You and JV Copilot Inc. agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to this Agreement or the Program.

You waive any objection to jurisdiction or venue in those courts.

31. No Class Actions

To the maximum extent permitted by law, you and JV Copilot Inc. agree that any dispute, claim, or proceeding will be brought only on an individual basis and not as a class, consolidated, collective, representative, or private attorney general action.

This section does not require arbitration. It applies to disputes brought in court unless prohibited by applicable law.

32. Assignment

You may not assign or transfer this Agreement, your affiliate account, affiliate links, coupon codes, commission rights, or payout rights without JV Copilot's prior written consent.

JV Copilot may assign or transfer this Agreement in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

33. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.

34. Entire Agreement

This Agreement, together with our Terms and Conditions, Privacy Policy, and any written commission terms or program rules we provide, forms the entire agreement between you and JV Copilot Inc. regarding the Program.

If there is a conflict between this Agreement and general statements on our website or marketing materials, this Agreement controls unless JV Copilot expressly states otherwise in writing.
